Part of a team of Solicitors that advised on a Build, Own, Operate and Transfer Agreement between a State Government and the Nigerian subsidiary of an international oil and gas company in respect of the construction of a Gas Distribution Infrastructure.
Prepared a Legal Opinion for a liquified natural gas company on the legal implications of the change of its name in view of a statute which created the company and conferred incentives, assurances and guarantees on the company.
Provided legal advice to a company in respect of the listing and trading of a Commodity backed instrument (Dukia Gold Exchange Traded Certificate) on the Lagos Commodities and Futures Exchange in dematerialised form.
Reviewed facility agreements for a State Government in respect of bridge loan facilities worth tens of billions of naira to ensure compliance with Nigerian laws and protection of the rights and interest of the State Government.
Part of the Solicitors that prepared and provided legal advice to Lagos State Government in respect of Lagos States’s N125,000,000,000.00 Series IV bond issuance under the N500 billion bond issuance programme. (Project Eyo IV Series).
Provided legal advice to a foreign company, (a market leader in the onshore and offshore infrastructure welding, coating, and technological engineering sector), desirous of doing business in the Nigerian oil and gas industry regarding applicable laws and taxes in the Nigerian business landscape and the applicability of the Federal Competition and Consumer Protection Act to the establishment of joint ventures in Nigeria.
Provided legal advice to a foreign company on regulations governing decommissioning in the Nigerian oil and gas industry (before the enactment of the Petroleum Industry Act 2021) vis-à-vis the UK regulations on decommissioning.
Provided a high-level review of invitation to tender agreements, joint venture agreements and collaboration agreements for companies in the oil and gas industry to ensure compliance with local content obligations as stipulated in the Nigerian Oil and Gas Industry Content Development Act 2010 and other Nigerian laws.
Provided tax advice to an international subsea operating company, working on offshore survey projects in Nigeria regarding significant economic presence considerations, withholding tax, Personal income tax, Value Added Tax, expatriate personnel taxes, Nigerian Content Development Levy and Cabotage Levy.
